Mezzanine is just a larger bank loan is the sentence this page has to retire. Retire the larger bank loan comparison
A bank loan and a junior piece fail differently. The page should say that, without turning the difference into a lecture with a sample spread. Counsel who writes counsel@ should find a human, not a chatbot that invents subordination language.
Say what the firm will not opine on. Lien priority, remedy standstills, and buyout rights are counsel's work if they are in play. The page may name those topics as subjects that belong in counsel@, which is different from explaining how to win them. Label the difference in the first column of the page, beside the wrong sentence you just retired. mezz@ catches the note that is only who do I talk to. That note should not be answered with a rate.
Junior does not mean hidden, and it does not mean the loss sits somewhere else by magic. Do not use the page to soothe a sponsor about downside. Do not promise the piece will be placed.
